ASSUMPTION OF RISK AND LIABILITY WAIVER

Please read this agreement carefully before purchasing your membership.

1. Parties

This Assumption of Risk and Liability Waiver ("Agreement") is entered into between:

Service Provider:

U Move 2 Improve LLC, a Colorado limited liability company, conducting business under the trade names Adventure Strong Coaching and Adventure Strong Studio, operated by Bryan Maroney, Certified Athletic Trainer, and KJ Maroney, BASI Pilates and NASM Certified Coach, located in Edwards, Colorado ("Adventure Strong Studio," "we," "us," or "our")

and

Member:

the individual purchasing a membership to Adventure Strong Studio ("you," "your," or "Member").

2. Description of Services

Adventure Strong Studio is an online subscription-based workout library providing pre-recorded exercise classes, educational fitness content, and related wellness programming accessible via adventurestrongstudio.com (the "Platform"). Content includes but is not limited to strength training, mobility work, sport-specific conditioning, and general fitness programming.

Services are provided entirely online. Adventure Strong Studio does not provide in-person training, physical therapy, medical treatment, or clinical rehabilitation services. All programming is designed for general fitness and wellness purposes only.

3. Assumption of Risk

By purchasing a membership and accessing Adventure Strong Studio content, you acknowledge and agree to the following:

  • Exercise and physical activity carry inherent risks, including but not limited to muscle soreness, strains, sprains, joint pain, cardiovascular stress, and in rare cases, serious injury or death.
  • You are voluntarily participating in exercise activities and assume full responsibility for any and all risks associated with your participation.
  • Adventure Strong Studio programming is designed for general fitness purposes and is not a substitute for personalized medical advice, physical therapy, rehabilitation, or treatment by a licensed healthcare provider.
  • You are responsible for consulting with a qualified physician or healthcare provider before beginning any new exercise program, particularly if you have a pre-existing medical condition, injury, illness, pregnancy, or have been recently discharged from physical therapy or medical care.
  • You are solely responsible for determining whether the exercises and programming provided are appropriate for your current fitness level, health status, and physical condition.
  • You acknowledge that on-screen demonstrations and coaching cues are provided for general guidance and may not account for your individual physical limitations, injuries, or health conditions.

4. Release of Liability and Waiver of Claims

IN CONSIDERATION OF BEING PERMITTED TO ACCESS AND USE ADVENTURE STRONG STUDIO SERVICES, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE U MOVE 2 IMPROVE LLC, ADVENTURE STRONG COACHING, ADVENTURE STRONG STUDIO, its owners, members, employees, coaches, contractors, successors, and assigns (collectively, "Released Parties") from any and all claims, demands, damages, losses, liabilities, costs, and expenses, whether known or unknown, arising out of or in connection with:

  • Your participation in any exercise, workout, or fitness activity accessed through Adventure Strong Studio;
  • Any injury, illness, death, property damage, or other loss you may suffer while following or attempting to follow any programming, instruction, or demonstration provided by Adventure Strong Studio;
  • Any error, omission, interruption, or inaccuracy in the content provided on the Platform;
  • Your failure to properly perform exercises as demonstrated or instructed;
  • Any pre-existing medical condition or physical limitation that affects your ability to safely participate in the programming.

THIS RELEASE INCLUDES CLAIMS ARISING FROM THE NEGLIGENCE OF THE RELEASED PARTIES, to the fullest extent permitted by Colorado law.

5. Indemnification

You agree to indemnify, defend, and hold harmless U Move 2 Improve LLC, Adventure Strong Coaching, Adventure Strong Studio and the Released Parties from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform or its content; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; or (d) any claim by a third party related to your use of the services.

6. Health and Medical Disclaimer

Adventure Strong Studio programming is designed for healthy adults capable of participating in regular physical exercise. The content is not intended to diagnose, treat, cure, or prevent any medical condition or disease.

You represent and warrant that:

  • You are in good physical health and have no medical condition that would prevent safe participation in a general fitness program;
  • You have consulted with a qualified healthcare provider if you have any pre-existing medical conditions, injuries, or concerns prior to beginning this program;
  • You will discontinue exercise and seek medical attention immediately if you experience chest pain, shortness of breath, dizziness, severe pain, or any other concerning symptom during exercise;
  • You understand that Adventure Strong Studio coaches are fitness professionals, not licensed physicians, and that no content on the Platform should be interpreted as medical advice.

7. Membership Terms and Payment

  • Membership fees are billed on a recurring basis (monthly) as selected at time of purchase at $89/month.
  • Monthly memberships may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No partial refunds will be issued for unused time within a billing period.
  • Adventure Strong Studio reserves the right to modify subscription pricing with 30 days written notice to active members.
  • We reserve the right to terminate or suspend any membership for violation of this Agreement, misuse of the Platform, or any conduct we deem harmful to our community or brand, with or without notice.

8. Intellectual Property

All content on the Adventure Strong Studio Platform, including but not limited to video classes, programming, written descriptions, logos, brand assets, and instructional materials, is the exclusive property of U Move 2 Improve LLC and is protected by applicable copyright and intellectual property laws.

Your membership grants you a limited, non-exclusive, non-transferable, personal license to access and use the content for your own personal, non-commercial fitness purposes only. You may not:

  • Download, reproduce, copy, or distribute any Platform content without prior written consent;
  • Share your login credentials with any other person;
  • Use any content for commercial purposes, group instruction, or resale;
  • Record, screenshot, or capture any class content for any purpose.

9. Privacy

By creating a membership, you consent to the collection and use of your personal information in accordance with our Privacy Policy, which is incorporated herein by reference. We collect and use personal information solely for the purpose of providing and improving the Adventure Strong Studio service and communicating with you about your membership.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or your use of Adventure Strong Studio shall be resolved exclusively in the state courts located in Eagle County, Colorado and the federal courts in Colorado.

You waive any right to a jury trial in connection with any dispute arising under this Agreement.

11. Severability and Entire Agreement

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.

This Agreement constitutes the entire agreement between you and Adventure Strong Studio with respect to the subject matter herein and supersedes all prior agreements, representations, and understandings.

Adventure Strong Studio reserves the right to update or modify this Agreement at any time. Material changes will be communicated to active members via email with at least 30 days prior notice. Continued use of the Platform following the effective date of changes constitutes acceptance of the updated Agreement.

12. Acknowledgment and Electronic Agreement

 

BY CHECKING THE BOX BELOW AND COMPLETING YOUR PURCHASE, YOU ACKNOWLEDGE AND AGREE THAT:

  1. You have read this Agreement in its entirety and understand its terms;
  2. You voluntarily agree to be bound by all terms and conditions of this Agreement;
  3. You are 18 years of age or older and legally competent to enter into this Agreement;
  4. You understand that this Agreement includes a RELEASE OF LIABILITY and WAIVER OF CLAIMS against U Move 2 Improve LLC, a Colorado limited liability company, conducting business under the trade names Adventure Strong Coaching and Adventure Strong Studio, its its owners, members, employees, coaches, contractors, successors, and assigns;
  5. Your electronic signature constitutes a legally binding agreement to this Assumption of Risk and Liability Waiver under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable Colorado law.
